The issue of directors or officers being paid through private
companies they own is thorny, to say the least, not only in
ICANN but also but also in many other non-for-profit
organizations. I'm personally against this practice, which is
frequently employed as a resource for tax avoidance. In any
case, any director or official that simultaneously has decison
powers in private sector companies should have the burden
of proof with regard to conflicts of interest.
